The Suite Spot by TLF

1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of any Programs, Products, Services, and Software-as-a-Service (SaaS) platform provided by The Suite Spot by TLF ("Company," "we," "us," or "our"). By accessing or using any of our offerings, you agree to be bound by these Terms, our Privacy Policy, and any applicable disclaimers or supplemental agreements. If you do not agree, please do not use our services.
2. Eligibility & Use
Our services are intended for individuals aged 18 or older. By using our offerings, you confirm that you meet this requirement and are legally capable of entering into binding agreements.
3. Licence & Intellectual Property Rights
All content, software, templates, automations, data tools, and branding in our Services are owned by The Suite Spot by TLF or its licensors and are protected under Canadian and international intellectual property laws.You are granted a limited, non-transferable, revocable license to access and use content for personal and business use, as permitted by your specific subscription or product purchase.
You may:
- Use our SaaS platform in accordance with your account level, which may include multiple authorized users depending on the tier.
- Download and/or print provided program materials for your own use.
- Reference publicly available free resources with attribution, including a visible and clickable link when used electronically.
You may not:
- Share your login credentials with anyone not listed as an authorized user under your account plan.
- Copy, reproduce, distribute, modify, reverse engineer or create derivative works of our content for commercial purposes without our explicit written consent.
- Use our trademarks, taglines, or logos without our express written permission.
- Transfer your sub-account, including user access and core assets provided by us (such as proprietary templates, automations, and workflows), to another agency, organization, or individual under any circumstances. However, we may consider, on request, exporting certain client-created assets (such as funnels, websites, and automations) if technically feasible and compliant with our platform policies. The full sub-account remains non-transferable.
4. Permitted Use
You may use the Services only for lawful purposes. You may download or print materials for your own use, provided you retain all copyright and proprietary notices. Any other distribution, sale, or public use is strictly prohibited.
5. Prohibited Conduct
You agree not to:
- Misuse the platform or attempt unauthorized access.
- Upload content that is unlawful, infringing, deceptive, defamatory, hateful, or malicious.
- Transmit viruses or malicious code.
- Use the Services for spamming, phishing, or unauthorized marketing.
- Impersonate another person or entity, or misrepresent your identity.
6. Account Access & User Responsibilities
Each account includes access for a set number of users based on the subscription level. Each authorized user must have their own login credentials. You are responsible for maintaining the confidentiality of login information and for any activities under your account. If unauthorized access is suspected, you must notify us immediately at [email protected].
We reserve the right to suspend or terminate accounts found to be in violation of this policy.
7. Privacy & Confidentiality
We collect and use your personal information in accordance with our Privacy Policy and applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. For details, please see our Privacy Policy.
You grant us permission to collect, use, and store the information you provide for the following purposes:
- Account creation and communication
- Delivery of services and materials
- Internal analytics and improvements
- Marketing and promotional communications (with the option to unsubscribe)
We take commercially reasonable steps to protect your information, but due to the nature of the internet, we cannot guarantee absolute security.
8. Security & Data Use
You authorize us to access your account solely for the purposes of customer support and technical troubleshooting. We implement reasonable security measures but cannot guarantee complete protection from unauthorized access. Your use of the Services is at your own risk.
9. Payments, Renewals & Billing
All prices for our Services are listed in U.S. Dollars (USD) unless otherwise stated. Charges may be recurring, and your payment method will be billed accordingly unless you cancel before the next billing cycle. We accept payment by credit card, or other approved payment methods as listed.
You agree:
- To keep your billing information up to date
- That you are responsible for all payments according to your subscription and/or product terms
- To resolve failed payments within three (3) days to maintain access to services
Chargebacks or disputes without first attempting resolution may result in account termination and referral to credit agencies.
10. Refund Policy
You may cancel your SaaS subscription at any time by notifying us at [email protected], and you will not be billed in the next billing cycle. However, all payments already made are non-refundable. Cancellations are effective at the end of the current billing cycle.
If you have purchased a one-time setup package, or Done-For-You services, that purchase is non-refundable due to the customized nature of the service and time investment involved.
Additionally, accounts, subscriptions, and services are non-transferable. You may not transfer ownership or access to another agency or third party.
11. Termination
You may terminate your use of our services at any time by notifying us at [email protected]. We may suspend or terminate your access for non-compliance, payment issues, or other violations of these Terms, without prior notice.
Termination does not waive your responsibility to pay any remaining amounts owed. Upon termination, your access to all materials and systems will be revoked.
12. Disclaimers & Limitation of Liability
We provide our SaaS platform, services, and materials "as is" and “as available” without warranties. To the fullest extent permitted by law, we disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any direct, indirect, incidental, consequential, or special damages arising from your use or inability to use the Services. In no case will our liability exceed the total amount you paid to us in the 12 months prior to the event giving rise to the claim.
We do not guarantee specific business results or outcomes. You agree that we are not liable for:
- Interruptions, bugs, or system failures
- Lost data, profits, or business opportunities
- Any damage resulting from use or misuse of our offerings
13. Indemnification
You agree to indemnify, defend, and hold harmless Tara Lynne Franco, The Suite Spot by TLF, and our affiliates, employees, contractors, and partners from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.
14. Dispute Resolution
These Terms & Conditions are governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration under the Arbitration Act, 1991 (Ontario) or equivalent legislation, held in Toronto, Ontario, Canada. The arbitration decision shall be final and binding.
You agree to waive any right to participate in class actions or jury trials.

16. Modifications
We reserve the right to update or modify these Terms at any time. You will be notified via email or in-app notification of material changes. Continued use of the services after changes constitutes acceptance of the new terms.
17. General Provisions
Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement between you and The Suite Spot by TLF.
Modifications: We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated terms.
Severability: If any provision is found unenforceable, the remainder will remain in full force.
Waiver: No waiver of rights is effective unless in writing.
Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign or transfer our rights at any time.
